Terms of Service.
The terms governing your use of Orchard Roofs's website and roofing services.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Orchard Roofs LLC ("Pinnacle," "we," "our," or "us"), an Oregon limited liability company licensed under OR CCB #228847. By scheduling a service, signing a service agreement, granting Pinnacle access to your property, or using our website, you agree to be bound by these Terms.
2. Services
Pinnacle provides residential and commercial roofing services including residential re-roofing, commercial flat roof installation and repair, Portland ecoroof system installation, cedar shake and specialty roofing, metal roofing, and inspection and maintenance services. All services are performed pursuant to our Oregon CCB license #228847. Services are subject to a written proposal or work order specifying scope, materials, pricing, and applicable warranties. No service is performed without prior written Client authorization. Proposals are valid for 30 days unless otherwise noted.
3. Client Responsibilities
To enable effective service, you agree to: provide Pinnacle technicians with safe, unobstructed access to all property areas specified in the service agreement on the scheduled date; disclose all known property information relevant to roofing work, including known leaks, prior repairs, structural modifications, the presence of sensitive individuals or animals, and known hazardous conditions; follow all pre-service preparation instructions (e.g., clearing attic access, relocating vehicles); observe all post-service re-entry restrictions; promptly report concerns within 48 hours of service completion; and pay all invoiced amounts within the terms specified.
Failure to fulfill these responsibilities may void applicable service guarantees and may result in additional charges for revisits required by inadequate access or preparation.
4. Service Warranties and Re-Service
Pinnacle offers the following workmanship warranties based on service tier: Foundational tier โ 10 years; Professional tier โ 15 years; Pinnacle tier โ Lifetime. These warranties cover installation defects attributable to Pinnacle workmanship. They are separate from and additive to manufacturer material warranties, which Pinnacle registers at project completion.
For active leaks or water intrusion attributable to covered workmanship within the warranty period, Pinnacle will return and perform corrective work within 48โ72 business hours of notification at no charge. This warranty does not cover: damage from storms, falling trees, or other external events after installation; issues attributable to deferred maintenance by the client; work performed on the roof by other parties after Pinnacle's completion; or structural failures not attributable to Pinnacle's installation. Maintenance program clients (biannual inspection) receive warranty period extensions per their maintenance agreement.
5. Payment Terms
Payment for one-time services is due upon completion unless otherwise specified in the written proposal. Recurring maintenance program invoices are due within 14 days of service. We accept credit/debit cards, check, and ACH bank transfer. Accounts 30+ days past due are subject to a late fee of 1.5% per month on the outstanding balance. Pinnacle reserves the right to suspend ongoing service on accounts with unpaid balances exceeding 45 days. Collection costs including reasonable attorney's fees may be recovered to the extent permitted by Oregon law.
6. Cancellation Policy
Maintenance program agreements may be cancelled at any time with 48 hours notice before the next scheduled visit, with no cancellation fee. Standard inspection or project appointments cancelled less than 24 hours before the scheduled time may incur a cancellation fee not to exceed $95. Emergency service appointments cancelled less than 4 hours before dispatch may incur a cancellation fee not to exceed $175. These fees represent administrative and scheduling costs, not profit.
7. Seismic Review Requirement โ Oregon Specialty Materials
Pinnacle requires a licensed Oregon Professional Engineer (PE, Structural) review prior to installation of tile, slate, or other heavy roofing materials (exceeding 5 lbs/sq ft) on any pre-1995 wood-frame structure in Oregon Seismic Design Category D or higher zones (which includes Portland and the Willamette Valley). This review is included as standard on Pinnacle tier projects. On other tiers where heavy materials are specified, the cost and completion of PE review is a condition of Pinnacle's agreement to proceed with installation. Client may not waive this requirement. Pinnacle accepts no liability for seismic performance of heavy-material roofing installed without a current PE structural review.
8. Chemical and Material Safety
All roofing products and moss treatment products applied by Pinnacle are applied in accordance with label directions by licensed Oregon applicators. We will inform you of any relevant re-entry times, ventilation requirements, or special precautions at the time of service. Client agrees to inform Pinnacle of any changes in occupant health conditions, chemical sensitivities, or the presence of individuals requiring special accommodation between scheduled visits.
9. Limitation of Liability
Pinnacle's liability for any claim arising from roofing services shall be limited to the fees paid for the specific service giving rise to the claim. Pinnacle shall not be liable for indirect, incidental, consequential, or punitive damages including lost revenue, loss of use, or property damage not directly caused by Pinnacle technician negligence. Pinnacle maintains $4,000,000 general liability insurance and current workers' compensation coverage. Certificates of insurance are available on written request. Pinnacle does not guarantee the complete elimination of all roofing issues on a property; roofing performance depends on ongoing maintenance, environmental factors, and building conditions outside Pinnacle's control.
10. Property Access and Safety
Client agrees to ensure the property is safe for Pinnacle technicians, including securing aggressive animals, disclosing known structural hazards, and ensuring technicians are not subjected to harassment or unsafe conditions. Pinnacle reserves the right to terminate service at properties where technician safety cannot be assured, without penalty.
11. Ecoroof Compliance
For Portland BES Ecoroof Incentive Program projects, Pinnacle prepares and submits qualifying documentation in good faith based on project specifications approved by Client. Pinnacle does not guarantee BES incentive approval, as final approval authority rests with the Bureau of Environmental Services. Pinnacle is not liable for incentive denial attributable to client-directed changes to scope, growing medium, or plant palette after specification approval.
12. Dispute Resolution
Disputes arising from these Terms shall first be submitted to good-faith direct negotiation for 30 days following written notice. Unresolved disputes shall be submitted to binding arbitration under American Arbitration Association rules, conducted in Multnomah County, Oregon. The arbitrator's award is final and binding. Either party may seek injunctive relief in any court of competent jurisdiction without limitation.
13. Governing Law
These Terms are governed by the laws of the State of Oregon. Venue for any legal proceedings not subject to arbitration is exclusively in the state or federal courts of Multnomah County, Oregon. You consent to personal jurisdiction of such courts.
14. Severability
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable; all remaining provisions remain in full force.
